1. Definitions
1.1 “Agreement”: Refers to the contractual relationship established between the Client and Creator Role upon acceptance of these Terms of Service.
1.2 “Client”: The individual or legal entity that engages the services of Creator Role by entering into this Agreement.
1.3 “Creator Role”: The trade name of Ghit Media B.V., a company registered under Dutch law and registered in the Netherlands under Chamber of Commerce Registration Number 86158031, which provides tailored support Services to Clients.
1.4 “Services”: The support services offered by Creator Role, including but not limited to marketing assistance, accounting support, sales advice, technical solutions, graphic design, video editing, and other creative or operational tasks, as described in the Agreement or any relevant documentation.
1.5 “Subscription Plan”: A service model offered by Creator Role, specifying the scope of Services, hours of support, pricing, and other relevant terms as agreed upon by the Client.
1.7 “Discord”: The communication platform used as the primary channel for interaction between Creator Role and the Client.
1.8 “Confidential Information”: All information, data, and materials shared between Creator Role and the Client in connection with the Services, including but not limited to trade secrets, business strategies, and technical data, unless publicly available or disclosed by other lawful means.
1.9 “Personal Data”: Any information relating to an identified or identifiable natural person, processed by Creator Role in connection with the Services, as defined under applicable data protection laws.
1.10 “Terms of Service”: The terms and conditions outlined in this document, governing the use of the Services provided by Creator Role.
1.11 “Force Majeure”: An event or circumstance beyond the reasonable control of Creator Role, including but not limited to natural disasters, strikes, government actions, internet outages, or third-party platform failures such as Discord malfunctions.
2. Applicability of the Terms of Service
2.1 ScopeThese Terms of Service apply to all offers, Agreements, and Services provided by Creator Role, including but not limited to those under Subscription Plans. By engaging with Creator Role, the Client acknowledges and agrees to these Terms of Service.
2.2 Acceptance
The Client's acceptance of a quotation, Subscription Plan, or other Agreement with Creator Role constitutes explicit acceptance of these Terms of Service. Any general terms and conditions of the Client are expressly rejected unless agreed otherwise in writing by Creator Role.
2.3 Amendments
Creator Role reserves the right to amend these Terms of Service at any time. The Client will be notified of any changes at least 30 days prior to their effective date. If the Client does not accept the amended Terms of Service, the Client may terminate the Agreement before the effective date of the amendments.
2.4 Precedence
In the event of any conflict between these Terms of Service and any Agreement or documentation between the Client and Creator Role, these Terms of Service will prevail, unless explicitly agreed otherwise in writing.
2.5 International Clients
For Clients outside the Netherlands, these Terms of Service are governed by Dutch law. However, additional local requirements may apply based on jurisdiction, provided they do not conflict with the core provisions of these Terms of Service.
3. Offer and Formation of the Agreement
3.1 Offers and Quotations
Any Offers or quotations provided by Creator Role, whether in writing, via the website, or through Discord, are non-binding and subject to change, unless explicitly stated otherwise. Creator Role reserves the right to modify or withdraw an Offer at any time prior to the Client’s acceptance.
3.2 Formation of the Agreement
An Agreement between Creator Role and the Client is formed upon:
a) The Client's explicit acceptance of an Offer or Subscription Plan provided by Creator Role; or
b) The activation or initiation of Services by Creator Role following the Client’s request.
3.3 Accuracy of Information
The Client guarantees that all information provided to Creator Role during the process of forming the Agreement is accurate, complete, and up-to-date. Creator Role is not responsible for any delays or issues resulting from inaccuracies in the information provided.
3.4 Electronic Communication
The Client agrees that all communication, including acceptance of Offers, may occur electronically, including but not limited to via Discord. Creator Role is not liable for communication issues arising from technical malfunctions or external factors.
3.5 Right to Refuse
Creator Role reserves the right to refuse any request for Services or Subscription Plan without providing a reason. In such cases, no Agreement will be formed, and any payments made in advance will be refunded within a reasonable timeframe.
3.6 Currencies and Taxes
All Offers, quotations, and Subscription Plan pricing are in United States Dollars (USD) or British Pounds (GBP), depending on the Client’s preference and as specified in the Offer. Fees exclude applicable taxes unless explicitly stated otherwise.
3.7 Account Creation and Management
To access certain Services, the Client may be required to create an account on a platform specified by Creator Role, such as its website, Discord, or other applications. The Client is responsible for maintaining the confidentiality of their account credentials and ensuring all information provided during account registration is accurate and up-to-date. Creator Role reserves the right to suspend or terminate accounts in cases of misuse or violation of these Terms of Service.
4. Performance of the Agreement
4.1 Best Efforts Obligation
Creator Role will perform the Services under the Agreement to the best of its abilities and with due care, but does not guarantee specific results unless explicitly agreed upon in writing.
4.2 Customization and Flexibility
The Services provided by Creator Role are tailored to the Client’s needs based on the information and requirements shared by the Client. Creator Role reserves the right to adapt its approach during the term of the Agreement to ensure optimal performance.
4.3 Availability of Services
Creator Role endeavors to provide timely Services, including availability outside regular business hours. However, response times may vary based on workload, time zones, and unforeseen circumstances.
4.4 Use of Contractors and Third Parties
Creator Role may engage independent contractors, freelancers, or employees (collectively referred to as "Contractors") to perform tasks or deliverables on its behalf. These Contractors operate under the direction and supervision of Creator Role, and Creator Role remains fully responsible for the quality and execution of the Services. No direct contractual or employment relationship is established between the Client and the Contractors. The roles, responsibilities, and restrictions related to Contractors are further outlined in Article 5 (‘’Specific Provisions for Contractors’’).
4.5 Client Responsibilities
The Client is required to:
a) Provide all necessary information, access, and cooperation required for the proper execution of the Services;
b) Respond promptly to requests or queries from Creator Role; and
c) Ensure that their instructions comply with applicable laws and do not infringe third-party rights.
4.6 Limitations of Discord
As Discord is the primary communication platform, the Client acknowledges that Creator Role is not responsible for delays, interruptions, or technical issues arising from Discord’s functionality or downtime.
4.7 Adjustments to Services
If, during the term of the Agreement, it becomes apparent that adjustments to the agreed Services are necessary to meet the Client’s needs or achieve the desired results, such adjustments will be made in consultation with the Client. Additional costs may apply and will be communicated in advance.
4.8 Nature of the Services
The Services provided by Creator Role are primarily administrative and supportive in nature, focusing on enabling the Client to achieve their creative or operational goals efficiently. Creator Role does not undertake tasks that require extensive technical expertise or complexity beyond the scope of its advertised capabilities.
4.9 Right to Refuse Unfeasible Tasks
Creator Role reserves the right to refuse tasks or requests that it deems unfeasible, inappropriate, or beyond the reasonable scope of its Services. Such refusals will be communicated to the Client with an explanation, but Creator Role is not required to provide specific examples or an exhaustive list of unfeasible tasks.
5. Specific Provisions about Contractors
5.1 Engagement of Contractors
Creator Role may engage independent contractors, freelancers, or employees (collectively referred to as "Contractors") to perform specific tasks or services on behalf of Creator Role. These Contractors act under the direction and supervision of Creator Role and are not directly engaged by the Client.
5.2 Responsibilities of Creator Role
Creator Role retains full responsibility for the proper execution and quality of the Services, including those performed by Contractors. The Client acknowledges that their relationship remains exclusively with Creator Role, and no contractual relationship is established between the Client and any Contractor.
5.3 Non-Solicitation of Contractors
The Client agrees not to directly engage, employ, or enter into any independent contractual relationship with any Contractor introduced by Creator Role for a period of six (6) months following the termination of the Agreement. Any exceptions to this clause must be agreed upon in writing by Creator Role. If this provision is breached, the Client agrees to pay Creator Role a fee equivalent to six (6) months of the Contractor's average invoiced amount to Creator Role.
5.4 Confidentiality and NDA’s
All Contractors engaged by Creator Role are bound by non-disclosure agreements (NDA’s) to ensure the confidentiality of the Client’s information. Creator Role guarantees that the same level of confidentiality is maintained as described in Article 8 (‘’Confidentiality’’).
5.5 Intellectual Property Rights
All deliverables created by Contractors as part of the Services are considered the property of Creator Role, subject to the terms outlined in Article 10 (‘’Intellectual Property’’). The Client will receive usage rights as agreed under the Agreement.
5.6 Additional Costs for Specific Expertise
If the Client requests specific expertise or specialized Contractors outside the scope of the Subscription Plan, additional costs may apply. These costs will be communicated and must be approved by the Client in advance.
6. Fees, Billing, and Price Adjustments
6.1 Subscription Fees
The Client agrees to pay the fees associated with the selected Subscription Plan. Fees are quoted in United States Dollars (USD) or British Pounds (GBP) or Euros (EUR), as specified in the Offer, and are exclusive of any applicable taxes, such as VAT or similar charges, unless explicitly stated otherwise.
6.2 Additional Services
Any Services requested by the Client that fall outside the scope of the selected Subscription Plan, including urgent or specialized work, will be billed at the applicable hourly rate. These rates will be communicated in advance and must be approved by the Client.
6.3 Payment Terms
a) Invoices for Subscription Plans are issued monthly in advance and must be paid within 14 days of the invoice date, unless otherwise agreed.
b) Invoices for Additional Services are issued upon completion of the work or at regular intervals, as agreed with the Client.
c) Payments must be made electronically via the methods specified by Creator Role.
6.4 Late Payments
If the Client fails to make a payment by the due date, Creator Role reserves the right to:
a) Suspend the Services until full payment is received;
b) Charge interest on the overdue amount at a rate of 1.5% per month or the maximum allowable rate under applicable law, whichever is lower;
c) Recover reasonable collection costs, including legal fees, incurred by Creator Role.
6.5 Price Adjustments
Creator Role reserves the right to adjust the prices of Subscription Plans and Services at its discretion. The Client will be notified of any price changes at least 30 days in advance. If the Client does not agree to the new pricing, they may terminate the Agreement before the new prices take effect.
6.6 No Refunds
Payments made to Creator Role are non-refundable, except where required by applicable law or under the following conditions:
(a) The Client requests a refund within seven (7) days of the formation of the Agreement;
(b) No more than four (4) hours of Services have been provided; and
(c) The Client has properly terminated the Agreement in accordance with Section 12.
Refunds are processed at Creator Role’s discretion and only after verifying compliance with the above conditions.
6.7 Taxes and Duties
The Client is responsible for all applicable taxes, duties, and charges arising from the Agreement, except for taxes based on Creator Role’s net income. If withholding taxes apply, the Client must gross up the payment to ensure that Creator Role receives the full invoiced amount.
7. Handling Additional Work and Costs
7.1 Scope of Additional Work
If additional work ("Out-of-Scope Work") is deemed necessary beyond the agreed Services under the Subscription Plan, Creator Role will notify the Client. Such work may include, but is not limited to:
a) Tasks requiring urgent attention outside regular service hours;
b) Specialized tasks that require expertise not covered in the Subscription Plan;
c) Increased workload resulting from incomplete or inaccurate information provided by the Client.
7.2 Approval of Additional Work
Creator Role will only commence Out-of-Scope Work after obtaining explicit approval from the Client. The estimated costs and time required for such work will be communicated in advance.
7.3 Hourly Rates for Additional Work
Out-of-Scope Work is billed at an hourly rate, as specified by Creator Role. The applicable rates depend on the complexity of the task and the level of expertise required. These rates will be provided to the Client before the work begins.
7.4 Recording of Additional Work
Creator Role will maintain transparent records of all time spent on Out-of-Scope Work. The Client may request detailed reports to verify the work performed and the associated costs.
7.5 Urgent Work Outside Subscription Hours
If urgent work is required outside the Client's selected Subscription Plan hours, Creator Role reserves the right to charge a premium rate. The Client will be informed of this rate prior to the commencement of the urgent work.
7.6 Responsibility for Delays
If delays or additional work arise due to incomplete, inaccurate, or untimely input from the Client, Creator Role may charge for the extra time required to complete the Services.
7.7 Adjustments to Scope
If the Client's needs significantly change during the term of the Agreement, Creator Role may recommend an adjustment to the Subscription Plan to better accommodate the Client’s requirements. Any changes to the scope of work will be documented and agreed upon in writing.
8. Confidentiality
8.1 Confidential Information
Both Creator Role and the Client agree to treat all Confidential Information received from the other party as strictly confidential. Confidential Information includes, but is not limited to, business plans, strategies, technical data, trade secrets, and other non-public information disclosed in connection with the Services.
8.2 Obligations of Confidentiality
Each party agrees to:
a) Use the Confidential Information solely for the purposes of fulfilling its obligations under the Agreement;
b) Restrict access to the Confidential Information to its employees, agents, or Contractors who need the information to perform the Services and are bound by similar confidentiality obligations;
c) Take all reasonable measures to protect the Confidential Information from unauthorized use, access, or disclosure.
8.3 Exceptions to Confidentiality
The obligations of confidentiality do not apply to information that:
a) Is or becomes publicly available without breach of the Agreement;
b) Was already lawfully in the possession of the receiving party before disclosure;
c) Is independently developed by the receiving party without reference to or use of the Confidential Information;
d) Is required to be disclosed by law or by a valid order of a court or other governmental authority, provided that the disclosing party is given prior notice and an opportunity to contest the disclosure.
8.4 Non-Disclosure Agreements (NDAs)
Creator Role ensures that all Contractors engaged under the Agreement are bound by written NDAs to maintain the confidentiality of the Client’s information.
8.5 Duration of Confidentiality Obligations
The obligations of confidentiality will remain in effect during the term of the Agreement and for a period of three (3) years after its termination or expiration, unless otherwise agreed in writing.
8.6 Breach of Confidentiality
In the event of a breach of confidentiality by either party, the non-breaching party is entitled to seek remedies under applicable law, including but not limited to injunctive relief and damages.
9. Data Processing Agreement (DPA)
9.1 Scope
This Data Processing Agreement (DPA) forms an integral part of the Agreement between Creator Role and the Client, where Creator Role processes Personal Data on behalf of the Client in the course of providing the Services.
9.2 Roles and Responsibilities
a) The Client acts as the ‘’Data Controller’’ and Creator Role acts as the ‘’Data Processor’’ under applicable data protection laws.
b) Creator Role will only process Personal Data in accordance with the documented instructions of the Client, unless required by law to act otherwise.
9.3 Nature and Purpose of Processing
Creator Role processes Personal Data solely for the purpose of delivering the Services as described in the Agreement. The type of data and categories of data subjects are determined by the Client and communicated to Creator Role.
9.4 Security Measures
Creator Role implements appropriate technical and organizational measures to ensure a level of security appropriate to the risk, including but not limited to:
a) Encryption of data during transmission and storage;
b) Access controls to prevent unauthorized access to Personal Data;
c) Regular monitoring and testing of security measures to ensure effectiveness.
9.5 Subprocessors and Contractors
a) Creator Role may engage Subprocessors, including Contractors, to assist in the processing of Personal Data for the provision of Services. These Subprocessors and Contractors are bound by agreements that impose data protection obligations equivalent to those in this DPA.
b) The Client acknowledges and agrees that such Subprocessors or Contractors may process Personal Data on behalf of Creator Role, provided that Creator Role ensures compliance with applicable data protection laws.
c) A list of approved Subprocessors and Contractors is available upon request. The Client will be informed of any intended changes to this list, giving the Client the opportunity to object where justified.
9.6 Data Breaches
In the event of a Personal Data breach, Creator Role will:
a) Notify the Client without undue delay after becoming aware of the breach;
b) Provide sufficient information to enable the Client to comply with its legal obligations, including notifications to supervisory authorities and affected data subjects if necessary.
9.7 Data Subject Rights
a) Creator Role will assist the Client, where possible, in responding to requests from data subjects to exercise their rights under applicable data protection laws, including rights to access, rectification, erasure, restriction, and data portability.
b) The Client remains responsible for responding to such requests unless otherwise agreed in writing.
9.8 Data Retention and Deletion
Upon termination of the Agreement, Creator Role will, at the choice of the Client:
a) Delete all Personal Data processed on behalf of the Client; or
b) Return such data to the Client and delete existing copies unless further storage is required by law.
9.9 Audits and Inspections
The Client has the right to audit Creator Role’s compliance with this DPA, either through an independent auditor or through Creator Role’s provision of documentation and certifications. Such audits must be conducted with reasonable notice and during regular business hours.
9.10 International Data Transfers
a) If Personal Data is transferred outside the European Economic Area (EEA), Creator Role ensures that such transfers are conducted in compliance with applicable data protection laws.
b) This includes reliance on Standard Contractual Clauses (SCCs), adequacy decisions, or other lawful transfer mechanisms as required.
9.11 Liability and Indemnity
Creator Role is liable for damages caused by its processing of Personal Data only where it has failed to comply with its obligations under this DPA. The Client indemnifies Creator Role for claims arising from the Client’s failure to comply with its obligations as Data Controller.
9.12 Duration of the DPA
This DPA remains in effect for the duration of the Agreement and until all Personal Data is deleted or returned to the Client, as per Section 9.8.
10. Intellectual Property
10.1 Ownership of Deliverables
All deliverables, materials, and outputs created by Creator Role or its Contractors as part of the Services (the “Deliverables”) are and remain the sole property of Creator Role, unless explicitly transferred to the Client in writing.
10.2 License to Use Deliverables
Upon full payment of all applicable fees, Creator Role grants the Client a non-exclusive, non-transferable license to use the Deliverables solely for the purposes agreed upon in the Agreement. Any other use requires prior written consent from Creator Role.
10.3 Pre-Existing Intellectual Property
Any pre-existing intellectual property owned by Creator Role or its Contractors, including but not limited to software, tools, templates, and methodologies, remains the sole property of Creator Role. The Client is granted a limited license to use such materials solely as integrated into the Deliverables.
10.4 Client’s Intellectual Property
The Client retains all rights, titles, and interests in any intellectual property provided to Creator Role for the performance of the Services. The Client grants Creator Role a limited, non-exclusive license to use such intellectual property strictly for the purposes of fulfilling the Agreement.
10.5 Third-Party Intellectual Property
If the Deliverables include any third-party intellectual property (e.g., licensed software, stock images, or fonts), the Client acknowledges that their use may be subject to the terms and conditions of the respective third-party providers. Creator Role will inform the Client of any such dependencies.
10.6 Infringement Claims
a) Creator Role indemnifies the Client against claims alleging that the Deliverables infringe a third party’s intellectual property rights, provided that the Client:
1. Notifies Creator Role promptly of the claim;
2. Grants Creator Role sole control over the defense and settlement of the claim; and
3. Cooperates fully with Creator Role in the defense.
b) This indemnity does not apply if the alleged infringement arises from:
1. Modifications made to the Deliverables by the Client without Creator Role’s authorization;
2. Use of the Deliverables in combination with materials not supplied by Creator Role; or
3. Instructions or materials provided by the Client.
10.7 Prohibited Actions
The Client is prohibited from:
a) Modifying, reverse-engineering, or decompiling any Deliverables or materials provided by Creator Role;
b) Reselling or redistributing Deliverables without prior written consent;
c) Claiming ownership of any intellectual property created by Creator Role.
10.8 Breach of Intellectual Property Rights
Any unauthorized use of Creator Role’s intellectual property by the Client constitutes a material breach of the Agreement. Creator Role reserves the right to seek injunctive relief and damages in such cases.
11. Liability, Force Majeure, and Indemnities
11.1 Limitation of Liability
a) To the fullest extent permitted by law, Creator Role’s total liability under or in connection with the Agreement, whether in contract, tort, or otherwise, is limited to the lesser of:
1) the total fees paid by the Client to Creator Role in the (3) months preceding the event giving rise to the claim; or
2) USD 1,000 (or GBP equivalent).
b) Creator Role is not liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, revenue, goodwill, or data, even if advised of the possibility of such damages.
c) Creator Role is not liable for any errors, delays, or failures resulting from:
1) the Client’s failure to provide accurate or timely information;
2) reliance on third-party platforms or external service providers, including but not limited to Discord; or
3) circumstances beyond its reasonable control, including Force Majeure events as outlined in Article 11.3.
d) Any claims against Creator Role must be initiated within six (6) months of the event giving rise to the claim; otherwise, the claim is deemed irrevocably waived.
e) The Client agrees that Creator Role’s liability is excluded for any tasks or deliverables not explicitly agreed upon in writing as part of the Services.
11.2 No Liability for Third-Party Platforms
Creator Role is not liable for delays, interruptions, or damages arising from the use of third-party platforms, including but not limited to Discord, or other external services used to deliver the Services.
11.3 Force Majeure
a) Creator Role is not liable for failure to perform or delays in performance caused by Force Majeure events, including but not limited to natural disasters, strikes, government actions, internet outages, or failures of third-party providers.
b) If a Force Majeure event persists for more than thirty (30) days, either party may terminate the Agreement by providing written notice to the other party.
11.4 Client Indemnities
The Client agrees to indemnify and hold harmless Creator Role, its Contractors, and employees from any claims, damages, or losses arising from:
a) The Client’s breach of the Agreement;
b) The Client’s infringement of third-party rights, including intellectual property rights;
c) The use of the Services for unlawful purposes or in violation of applicable laws.
11.5 Creator Role Indemnities
Creator Role agrees to indemnify the Client against claims alleging that the Services or Deliverables infringe third-party intellectual property rights, as set forth in Article 10.6, subject to the limitations outlined therein.
11.6 Notice of Claims
Any claims for damages or indemnities must be notified in writing to the liable party as soon as reasonably possible after the claimant becomes aware of the event giving rise to the claim.
12. Term, Termination, and Cancellation
12.1 Term of the Agreement
The Agreement between Creator Role and the Client is entered into for an indefinite period unless otherwise specified in the Subscription Plan or agreed upon in writing.
12.2 Cancellation by the Client
a) The Client may cancel the Subscription Plan on a monthly basis, provided that written notice is given before the first (1st) day of the next calendar month.
b) Cancellation requests must be sent via Discord or email to the contact details provided by Creator Role.
12.3 Termination by Creator Role
Creator Role reserves the right to terminate the Agreement with immediate effect by providing written notice to the Client in the following circumstances:
a) The Client fails to make timely payments as outlined in Article 6 (‘’Fees, Billing, and Price Adjustments’’);
b) The Client breaches any material term of these Terms of Service;
c) The Client uses the Services for unlawful purposes or in violation of applicable laws;
d) A Force Majeure event (as described in Article 11.3) renders the continuation of the Agreement impossible.
12.4 Mutual Termination
The Agreement may be terminated at any time by mutual consent of both parties, provided that such termination is confirmed in writing.
12.5 Consequences of Termination
a) Upon termination of the Agreement, Creator Role will cease providing the Services and revoke access to any ongoing projects or Deliverables.
b) The Client remains liable for any outstanding fees incurred up to the date of termination.
c) If requested, Creator Role will return or delete the Client’s data as outlined in Article 9.8.
12.6 No Refunds Upon Termination
Payments already made to Creator Role are non-refundable unless explicitly agreed otherwise or required by applicable law.
12.7 Surviving Provisions
The termination of the Agreement does not affect the rights and obligations of the parties under provisions that, by their nature, are intended to survive termination, including but not limited to Articles 8 (‘’Confidentiality’’), 9 (‘’Data Processing Agreement’’), 10 (‘’Intellectual Property’’), and 11 (‘’Liability, Force Majeure, and Indemnities’’).
13. Governing Law and Dispute Resolution
13.1 Governing Law
This Agreement, including these Terms of Service, is governed by and construed in accordance with the laws of the Netherlands, excluding its conflict of law rules.
13.2 Jurisdiction
Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the competent courts in Amsterdam, the Netherlands, unless otherwise agreed in writing by the parties.
13.3 Alternative Dispute Resolution
Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute amicably through good faith negotiations. If the dispute cannot be resolved within thirty (30) days, either party may propose mediation or arbitration as an alternative dispute resolution method.
13.4 International Clients
For Clients located outside the Netherlands, this Article applies without prejudice to mandatory consumer protection laws in the Client’s jurisdiction that may provide additional rights.
13.5 Severability of Provisions
If any provision of this Article is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14. Final Provisions
14.1 Entire Agreement
These Terms of Service, together with the Agreement and any applicable Subscription Plan or additional written terms, constitute the entire agreement between Creator Role and the Client. They supersede all prior agreements, understandings, and communications, whether written or verbal, relating to the subject matter of this Agreement.
14.2 Amendments
Creator Role reserves the right to amend these Terms of Service. Any changes will be communicated to the Client at least thirty (30) days in advance. If the Client does not accept the amended terms, they may terminate the Agreement before the new terms take effect.
14.3 No Waiver
The failure of either party to enforce any provision of these Terms of Service does not constitute a waiver of their rights to enforce that provision or any other provision at a later time.
14.4 Severability
If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision will be replaced by a valid provision that comes closest to the intention of the original provision.
14.5 Assignment
The Client may not assign or transfer their rights or obligations under this Agreement without the prior written consent of Creator Role. Creator Role may assign or transfer its rights or obligations under this Agreement to a third party, provided the Client is notified in writing.
14.6 Language and Interpretation
These Terms of Service are drafted in English. In case of discrepancies between translations, the English version will prevail.
